These Terms and Conditions (“Terms”) govern your access to and use of Proforma (“the Platform”), owned and operated by 10logiq (“we,” “us,” or “our”). By using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Platform Overview

Proforma provides a web-based service allowing users to: Create and manage quotes and invoices Maintain a database of products and client contacts Send PDF quotes with product images and pricing via email Offer clients a link to select delivery/collection options and make online payments Display products on a public-facing storefront for visitors to request quotes

2. Account Registration

To access full platform features, you must create an account and provide accurate, complete, and updated information. You are responsible for maintaining the confidentiality of your login credentials.

3. User Responsibilities

As a User, you agree to: Ensure the accuracy of all information submitted in quotes Only upload content (product images, descriptions, etc.) you own or are licensed to use Comply with all applicable laws when using the Platform Maintain valid payment and banking information (if offering payment options) You are fully responsible for all quotes, messages, or content shared via your account.

4. Client Interaction & Payments

Users may allow their clients (quote recipients) to: View quotes online via email link Choose delivery or collection options Pay online via available methods (e.g., card, crypto, cash) We are not a financial institution and do not process payments directly. Payments are handled via third-party providers PayFast. We are not responsible for non-payment, chargebacks, or disputes between users and their clients.

5. Public Product Listings

Users may opt to display products publicly on the Platform. These listings are visible to site visitors, who may: Browse your products Select items Generate and send a quote request to your business Quote requests do not constitute binding agreements or sales unless accepted by the User.

6. Content Ownership

All platform content, including software, branding, and design, is owned by 10logiq. Users retain ownership of the content they upload, but grant us a non-exclusive license to display it within the scope of platform functionality.

7. Subscription & Fees

Access to the Platform may be subject to a subscription plan. Users will be notified of pricing and billing cycles upon signup or upgrade. We reserve the right to modify pricing with 30 days’ notice. Failure to pay may result in suspension or termination of access.

8. Termination

We may suspend or terminate your account without notice if: You breach these Terms Your actions put the integrity of the Platform or other users at risk Required payments are not received Users may cancel their account at any time, though no refunds will be issued for unused subscription time.

9. Disclaimer & Limitation of Liability

The Platform is provided “as is” without warranty of any kind. We make no guarantees regarding: The accuracy of quote calculations Timeliness or reliability of email delivery Payment success or speed of processing In no event will we be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

10. Privacy

We are committed to protecting user and client data. Personal information is handled in accordance with our Privacy Policy.

11. Modifications to Terms

We may update these Terms from time to time. Continued use of the Platform after changes means you accept the revised Terms.

12. Governing Law

These Terms are governed by the laws of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts of South Africa.
